  • Led legal strategy for investor groups in connection with a $1B+ tribal casino development, overseeing complex entity structuring, investor transactions, including acquisitions, dispositions, and equity reallocations, and directing regulatory approvals and compliance with the National Indian Gaming Commission
  • Advised on a multi-phase restructuring of tribal casino assets resulting in a $290 million settlement and acquisition, including oversight of diligence, disclosures, licensing requirements, and ownership interests in gaming operations
  • Negotiated and drafted a project management services agreement supporting a fronting/program structure between a $5B+ revenue insurance carrier and a healthcare platform, addressing underwriting authority, compliance, and risk allocation across participating entities
  • Led legal strategy and diligence for a buyer-side acquisition opportunity involving a target owned by a $10B+ revenue workforce solutions platform, ultimately converting the transaction into a multi-million-dollar commercial partnership and negotiating a master services agreement for distribution of a hospital indemnity plan through a Section 125 structure
  • Counseled veterinarian client in its purchase of veterinarian practice and real estate for animal hospital in Deerfield, Illinois
